Terms of Service

Welcome to Curriculum (Ai)ssist, a product of Perspicax, LLC ("Perspicax," "we," "us," or "our"). By accessing or using our platform, you ("User," "you," or "your") agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use the platform.
1. Acceptable Use
You agree to use Curriculum (Ai)ssist solely for lawful purposes related to curriculum analysis, academic program evaluation, and institutional improvement. You may not:
- Use the platform in any manner that violates applicable federal, state, or local laws or regulations, including but not limited to FERPA, COPPA, and state student privacy laws.
- Attempt to gain unauthorized access to any part of the platform, other user accounts, or systems or networks connected to the platform.
- Upload content that is unlawful, harmful, threatening, abusive, defamatory, or otherwise objectionable.
- Use the platform to collect, harvest, or aggregate data about other users without their consent.
- Reverse-engineer, decompile, disassemble, or otherwise attempt to derive the source code of any part of the platform.
- Resell, sublicense, or distribute access to the platform without prior written authorization from Perspicax.
2. Data Ownership & Institutional Control
All curriculum data, syllabi, and institutional documents uploaded to Curriculum (Ai)ssist remain the sole property of the uploading institution or authorized user. Perspicax does not claim any ownership interest in your data.
You retain full control over your data at all times. You may request export or deletion of your data at any point during or after the term of service, and we will comply within a reasonable timeframe.
3. Multi-Tenant Architecture & Data Sequestration
Curriculum (Ai)ssist is built on a multi-tenant architecture with strict logical data sequestration. Each institution's data is isolated within its own secure partition. This means:
- Your institution's data is never commingled with data from any other institution or user.
- Access controls are enforced at the architectural level, ensuring that only authorized personnel within your institution can view or interact with your data.
- Role-based access control (RBAC) allows institutional administrators to manage permissions and user access at a granular level.
4. No Use of Data for AI Model Training
Perspicax will not use any data uploaded to or generated within Curriculum (Ai)ssist to train, fine-tune, or improve artificial intelligence or machine learning models, whether proprietary or third-party. This commitment applies to all data, including but not limited to syllabi, course documents, learning outcomes, assessment data, and any derived analytics.
Any AI-powered features within the platform operate on your data only during your active session and for the sole purpose of delivering the analysis you have requested. Your data is not retained for model improvement purposes.
5. Service Availability & Modifications
We strive to maintain consistent platform availability but do not guarantee uninterrupted access. We reserve the right to modify, suspend, or discontinue any aspect of the platform with reasonable notice. Material changes to these Terms will be communicated to active users via email or in-platform notification.
6. Intellectual Property
All rights, title, and interest in and to the Curriculum (Ai)ssist platform, including its software, design, documentation, and branding, are owned by Perspicax, LLC. These Terms do not grant you any rights to our intellectual property except the limited right to use the platform in accordance with these Terms.
7. Limitation of Liability
To the maximum extent permitted by law, Perspicax shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to your use of the platform. Our total liability for any claim arising under these Terms shall not exceed the total fees paid by you to Perspicax during the twelve (12) months preceding the claim.
8. Termination
Either party may terminate service with thirty (30) days' written notice. Upon termination, we will provide a reasonable window for you to export your data. After the export window, your data will be securely deleted from our systems in accordance with our data retention policy.
9. Governing Law
These Terms are governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the courts of Brazos County, Texas.
